• In what state and what year was Proxim Wireless Corporation incorporated?

  Proxim Wireless Corporation was incorporated as a Delaware corporation on May 5, 2003, but reflects the continuation of a number of companies established long before that date.

• What is Proxim's history?

  Proxim, originally called YDI Wireless, Inc. then Terabeam, Inc., originally resulted from the merger consummated on April 1, 2003 between Telaxis Communications Corporation and Young Design, Inc. Telaxis was a publicly traded company that focused on developing high capacity millimeter wave wireless products. Young Design was a privately held company that developed, produced, and sold wireless data products, primarily in microwave frequencies. On May 14, 2004, we acquired KarlNet, Inc., a pioneer and leader in software development for operating and managing wireless networks. On June 22, 2004, we acquired Terabeam Corporation. Terabeam was a provider of broadband wireless solutions that extended and optimized carrier and enterprise networks using high frequency millimeter wave (60 GHz radio frequency) and free space optics (invisible light beam) technologies. On June 25, 2004, we acquired Ricochet Networks, Inc., a leading mobile Wireless Internet Service Provider (WISP) headquartered in Denver, Colorado. On July 27, 2005, we acquired the operations of Proxim Corporation, a leading provider of in wireless networking equipment for Wi-Fi and broadband wireless networks. Through this acquisition, we acquired the Proxim, Western Multiplex, and Agere WLAN product portfolios. Subsequent to that acquisition, we changed our corporate name to Proxim Wireless Corporation and our ticker symbol to PRXM.

• Are you related to the company Proxim Corporation?

  Proxim Wireless Corporation is a different company from old Proxim Corporation whose stock used to trade on Nasdaq under the ticker symbol "PROX". Proxim Wireless Corporation did not acquire any stock of old Proxim Corporation, and the stock of old Proxim Corporation did not convert into Proxim Wireless Corporation stock.

  Our headquarters are located in Silicon Valley, California. Proxim Wireless also has numerous sales and support offices both in the United States and internationally.

  As of December 31, 2010, we had approximately 235,100 shares of common stock outstanding. As of that date, we also had shares of preferred stock outstanding that were convertible into approximately 333,333 shares of common stock. Because the shares of common stock and shares of convertible preferred stock (on an as-converted basis) generally vote together as a single class, the holders of the convertible preferred stock control more than half of the voting power of Proxim’s outstanding stock. Thus, the two holders of the convertible preferred stock alone can determine the outcome of most matters submitted to the vote of Proxim’s stockholders regardless of how any other stockholder votes.

  As of December 31, 2010, our float was approximately 195,000 shares. When we use the term float, we are referring to our freely tradable outstanding common stock less the shares of our common stock held by our 10% stockholders, directors, and officers.
